1. Agreement to Terms
These Terms & Conditions constitute a legally binding agreement made between you (whether personally or on behalf of an entity, "Client", "you") and Bransarv Digital Private Limited ("Company", "we", "us", or "our"), regarding your access to and use of our website (https://bransarv.digital) and any professional services provided.
2. Scope of Services & Written Proposals
Bransarv Digital provides professional brand design, custom web and application development, AI workflow automation, search engine optimization, and technical consulting. Each client engagement is governed by an agreed written Proposal or Scope of Work (SOW) outlining deliverables, timelines, milestone compensation, and technical parameters. Any modification to agreed scope is executed through written change requests.
3. Invoicing, Payments & Taxes
- Milestone Invoicing: Invoices are digitally issued against pre-agreed project milestones (e.g. commencement deposit, beta approval, final deployment).
- Payment Facilities: We accept online payments through authorized payment aggregators (including Razorpay, supporting major debit/credit cards, UPI, and net banking) and direct corporate electronic fund transfers (NEFT / RTGS / SWIFT).
- Payment Due Dates: Unless otherwise specified in the written agreement, milestone invoices are due within seven (7) business days of issuance.
- Taxes: All applicable taxes (including Indian GST) are itemized on official invoices in compliance with statutory regulations.
4. Intellectual Property Rights Ownership
Full Client Transfer: Upon 100% full and final payment of all agreed invoices for the project, Bransarv Digital Private Limited hereby transfers and assigns all intellectual property rights, copyrights, codebases, graphics, and digital assets created exclusively for the client to the client.
Pre-Existing Tools: Company retains rights to pre-existing libraries, proprietary code scaffolds, and open-source components used under permissive licenses (e.g., MIT/Apache), which are licensed to the client on a perpetual, royalty-free, non-exclusive basis.
5. Client Responsibilities & Feedback
Timely delivery requires active collaboration. Clients agree to provide necessary brand assets, text copy, API credentials, and constructive review feedback in a reasonable timeframe. Delays caused by lack of required client inputs may adjust project timelines accordingly.
6. Post-Deployment Technical Warranty
Every custom web application delivered by Bransarv Digital includes a 30-day technical warranty following production launch to rectify any verifiable bugs or defects arising from the agreed scope of work, at no additional cost.
7. Limitation of Liability
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages. In any event, the Company’s aggregate liability shall not exceed the total fees actually paid by the client under the applicable statement of work.
8. Governing Law & Jurisdiction
These Terms & Conditions and any dispute arising hereunder shall be governed by and construed in accordance with the substantive laws of India. Both parties submit to the exclusive jurisdiction of the competent courts in Kangra / Himachal Pradesh, India.
